Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and GoMarketplace Exchange LLC, a Delaware limited liability company ("Company", "we", "us"). By signing up, accessing, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

GoMarketplace Exchange provides:

• Custom SaaS (Software as a Service) systems developed and maintained for your business.
• Website hosting, management, and maintenance services.
• Technical support and system updates.
• Online product sales (books and related merchandise).

Services are provided on a monthly subscription basis. Specific service scope is defined at the time of client onboarding.

Your account credentials are provided by GoMarketplace Exchange. You are responsible for:

• Keeping your login credentials confidential.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use at [email protected].

You may not share your account credentials with third parties or use another client's account.

Setup Fee: A one-time setup fee of R$799 (BRL) is charged at the start of service. This fee is non-refundable after the service has been delivered and configured.

Monthly Subscription: R$299 (BRL) per month, billed monthly in advance. Your first month is provided free of charge (30-day trial).

Payment Method: All payments are processed through Stripe. You must provide a valid payment method. By providing payment information, you authorize us to charge the applicable fees.

Failed Payments: If a payment fails, we will attempt to collect payment over 7 days. If payment remains outstanding, access to services may be suspended. You will receive email notification of any payment issues.

Price Changes:We reserve the right to change our pricing with 30 days' written notice to your registered email address.

New clients receive one (1) free month of service. The free trial:

• Begins on the date your account is activated.
• Lasts 30 calendar days.
• Requires a valid payment method on file (charged after the trial period).
• Is available to new clients only (one per company).

By Client: You may cancel your subscription at any time through the client portal or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

By GoMarketplace Exchange: We may suspend or terminate your access if you:

• Fail to pay fees within the specified timeframe.
• Violate these Terms or our Acceptable Use Policy.
• Use services for illegal or harmful purposes.

Upon termination, we will provide 15 days' notice where practicable (except for violations requiring immediate termination). You may request an export of your data within 30 days of termination.

Custom systems and websites we develop for you under a service agreement remain the property of GoMarketplace Exchange until all outstanding fees are paid in full. Upon full payment, you receive a non-exclusive license to use the delivered system for your business purposes.

The GoMarketplace Exchange name, logo, and brand materials are our exclusive property. You may not use our branding without written permission.

You agree NOT to use our services to:

• Violate any applicable law or regulation.
• Transmit or store illegal, harmful, defamatory, or infringing content.
• Attempt to gain unauthorized access to systems or data.
• Engage in activities that disrupt or impair the performance of our services.
• Use the services for spam, phishing, or malware distribution.
• Resell or sublicense access to our services without written authorization.

We commit to maintaining your website and systems with a target uptime of 99.5% per month, measured on a rolling 30-day basis. Scheduled maintenance, force majeure events, and third-party service outages are excluded from uptime calculations.

In the event of a service disruption exceeding 24 hours caused solely by our infrastructure, affected clients may receive a prorated credit on their next invoice.

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOMARKETPLACE EXCHANGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOMARKETPLACE EXCHANGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may modify these Terms at any time. We will provide 15 days' notice for material changes via email. Continued use of services after the effective date constitutes acceptance of the updated Terms.
